Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Adibi LMS, operated by Adibi International(“Company”, “we”, “us”). By accessing or using our platform, you agree to be bound by these Terms. If you do not agree, do not use our service.

1. Definitions

  • “Service” means the Adibi LMS platform and all related features
  • “Institution” means any school, madrasa, or educational organisation using the Service
  • “Account Owner” means the person who registers and is responsible for the subscription
  • “Users” means all individuals who access the Service under an Institution's account (admins, teachers, students, parents)
  • “Content” means any data, text, files, or materials uploaded to the Service

2. Account Registration

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorised use of your account
  • One subscription account per institution unless otherwise agreed in writing

3. Subscription & Billing

Adibi LMS is offered on a subscription basis. Billing is handled by Paddle (Paddle.com Market Limited), who acts as Merchant of Record for all transactions. Paddle's terms of service and privacy policy apply to payment processing.

  • Trial Period: New accounts receive a free trial period as specified at sign-up. No credit card is required during the trial.
  • Subscription: After the trial, continued access requires an active paid subscription.
  • Billing Cycle: Subscriptions are billed monthly or annually as selected at checkout.
  • Price Changes: We will provide at least 30 days' notice of any price changes.
  • Taxes: Prices are exclusive of applicable taxes. Paddle collects and remits applicable taxes on our behalf.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Upload content that is illegal, harmful, abusive, defamatory, or infringes third-party rights
  • Attempt to gain unauthorised access to any part of the Service or other accounts
  • Introduce malware, viruses, or malicious code
  • Use the Service to send unsolicited communications (spam)
  • Scrape, crawl, or systematically extract data from the platform
  • Resell or sublicense the Service without our written consent
  • Impersonate any person or entity

5. Intellectual Property

Our IP: The Service, including its software, design, trademarks, and content created by us, is owned by Adibi International and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period.

Your Content: You retain all ownership rights to Content you upload to the Service. By uploading Content, you grant us a limited licence to store, process, and display it solely to provide the Service. We do not claim ownership of your Content.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. As an Institution using our Service to manage student records, you act as data controller and are responsible for compliance with applicable data protection laws in your jurisdiction.

7. Service Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. We provide support via email. Response times vary by plan tier.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Adibi International shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Service.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

By you: You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. You remain responsible for all charges incurred prior to cancellation.

By us: We may suspend or terminate your account immediately if you violate these Terms, fail to pay subscription fees, or engage in conduct that we determine poses a risk to the platform or other users. We will attempt to provide notice before termination where reasonably possible.

Upon termination, you may request an export of your data within 30 days. After this period, your data may be permanently deleted.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide at least 14 days' notice via email or platform notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
